Introduction
- Welcome to the Elven financial system (SaaS) products and services provided by ELVEN GROUP PTE LTD (Company Registration No.: 202237934W), a company registered in Singapore, with its registered office address at One Raffles Place #50-00, Singapore 048616 (hereinafter referred to as “Elven” or “we”).
- Elven is a professional encrypted financial software, including software and services, collectively referred to as “the Service” in the Elven User Service Agreement (hereinafter referred to as “this Agreement”). Authorized users are collectively referred to as “you.”
- This Agreement is an effective agreement between you and Elven, stipulating the terms and conditions you must follow when registering, logging in, and using (collectively referred to as “using”) this Service. Please read this Agreement carefully and ensure you understand it. If you do not understand or accept any part of this Agreement, you are not permitted to use this product and service. By using this Service, you confirm and accept this Agreement.
Account
- Eligibility: The platform is only for users who are 18 years old or older or of the digital consent age in your country/region (if the age is higher).
- Registration: To use this software and services, you need to register through the links, QR codes, etc., provided by the official Elven website, official personnel, and authorized channels. You need to provide accurate company name, contact person, position, company email, and other related information, and pass the online review.
- Activation: Once you pass the review by the Elven platform, you can activate your account through company email verification. This email will be used as the primary means of subsequent notifications and information communication. You must ensure that the email can be used normally (receiving, sending emails, etc.).
- Account Security:
- You understand and agree that the ownership of the Service account and related rights belong to us. After completing the first login, you will obtain the right to use the account. The account is limited to personal use, and without Elven’s written or email consent, you are prohibited from gifting, borrowing, renting, transferring, selling, or otherwise allowing others to use it in any form.
- You are responsible for maintaining the security and confidentiality of your account and password. Under no circumstances should you disclose them to others. If you discover unauthorized use of your account or other security issues, you must notify us immediately. In case of lost accounts or forgotten passwords, you can follow our appeal process to request account or password retrieval. You understand and agree that the password retrieval mechanism only verifies the consistency of the information on the appeal form with the system records, without verifying whether the complainant is the legitimate user of the account.
- You fully understand and agree that you are responsible for all actions under your account, including any content published by the account and any resulting consequences. You should judge and assume all risks arising from using the content, including the risks due to reliance on the content’s correctness, completeness, or usefulness. We cannot and will not be liable for any losses or damages resulting from the aforementioned risks.
- Account Freezing: Your account may be frozen or restricted in whole or part under the following circumstances:
- Violating applicable laws, regulations, policies, or legal documents;
- Required by the competent national authorities (including but not limited to courts, procuratorates, public security organs, etc.);
- For the needs of the Service’s operation and transaction security, such as if you engage in or attempt to disrupt our and affiliated companies’ fair trading environment or normal trading order, or use names, brands, or any other means that mislead others about a relationship with us and our affiliated companies;
- If you are reported by others with provided evidence, and you fail to provide contrary evidence as requested by us;
- We reasonably determine that there is abnormal operation, revenue, or conversion in your account;
- There is a dispute over the ownership of the account;
- Violating this Agreement, rules, and other related agreements;
- Other circumstances that we reasonably judge to be of the same nature as above or pose similar risks.
- Data Storage: During your use of the Elven platform, your data will be stored on AWS.
Usage Norms
- You should correctly configure and use this Service and take certain security measures to protect and back up your content. You represent and warrant that the algorithms, models, data, products, and services you access to this Service are safe, stable, and effective and do not contain any other software programs, nor do they contain viruses, worms, Trojans, or other harmful computer codes, files, scripts, and programs, and do not possess any malicious software characteristics that could damage our and/or its affiliated systems or data of third parties. Security vulnerabilities caused by your content, including but not limited to viruses, Trojans, worms, or other harmful programs, or vulnerabilities caused by your non-compliance with this Agreement, will be solely your responsibility.
- You shall not:
- Use any unauthorized plugins, external programs, systems, or third-party tools to interfere with, disrupt, modify, or influence the normal operation of this Service, including but not limited to using automated scripts to collect information from this Service or interact with this Service, occupying substantial system or network bandwidth resources, causing heavy load to the system, affecting the smooth operation of the system.
- Conduct any acts that endanger computer network security, including but not limited to:
- Illegally intruding the network, interfering with the normal functions of the network, stealing network data, etc.;
- Providing programs or tools specifically used for network intrusion, interference with normal network functions, or harm network security;
- Knowingly supporting technical, promotional, settlement, and other activities that jeopardize network security;
- Using unauthorized data or entering unauthorized servers/accounts;
- Unauthorized access to public computer networks or others’ computer systems, deleting, modifying, adding stored information;
- Attempting to probe, scan, or test the system or network weaknesses without permission;
- Attempting to interfere, disrupt the normal operation of the system or website, maliciously spreading programs or viruses, or other malicious interference actions;
- Copying, imitating, modifying, translating, adapting, lending, selling, sublicensing, uploading or transferring related services on the information network, conducting reverse engineering, disassembling, decompiling, or attempting in other ways to discover the source code of this Service;
- Violating laws, regulations, agreements, our relevant rules, and infringing upon others’ legal rights in other ways;
- Integrating this Service or any part of it into any other program or product;
- Unauthorized use or attempt to use others’ accounts, services, or systems, creating a false identity on this Service.
Our Rights
- We reserve the following rights and can exercise these rights at any time at our sole discretion without any liability to you or notice (except where prohibited by law):
- As an Elven user, your company name, logo may be used as a customer case on the official website and promotional materials;
- We may change all or part of the platform and its features;
- We may suspend or stop all or part of the platform;
- We may terminate, suspend, restrict, or disable your access to part or all of the platform;
- We may change the eligibility criteria for using the platform (if the law in your jurisdiction prohibits such changes, we may revoke your right to use the platform in that jurisdiction).
Billing, Payment, and Renewal
- This service is a basic version of software provided by Elven, with a subscription price of $9.9/month. Automatic monthly billing applies, with a transaction cap of 3000 transactions, starting from the registration and activation of your account. You can use this service during your subscription period.
- Transactions refer to data imported from on-chain wallets, banks, exchanges, custodians, payment platforms + business data imported through business systems.
- Once the transaction cap is reached, no further transactions will be supported, including automatic sync and file uploads.
- You need to link your credit card, and Elven will (through Stripe) generate orders and automatically charge monthly.
- You must ensure your credit card is available. If billing fails, resulting in overdue bills, the project will be disabled.
- After a payment failure, you will have a 7-day grace period to update your payment method. During the grace period, data updates will not be supported. If the bill is still unpaid after 7 days, the project will be disabled, and users will be unable to access the project.
- Cancellation and Renewal:
- You can cancel your subscription at any time.
- After cancellation, there will be a 7-day pause period during which data updates will not be supported.
- If you resubscribe within 7 days, the previous subscription will continue with subsequent monthly charges.
- If resubscription crosses a billing cycle, the current bill must be paid first.
- If no resubscription occurs within 7 days, the project will be disabled, and users will be unable to access the project.
- The basic version has a transaction cap of 3000 transactions. Once the cap is reached, no new accounts or transactions can be added, and existing accounts will no longer pull new transactions automatically.
- If you need to continue using the service, you need to upgrade to a standard or custom version according to your needs. (If there are any later revisions, this agreement will be updated promptly.) Refer to the official Elven platform https://www.elven.com or obtain the latest pricing information through Elven sales and Elven authorized channels.
Privacy and Security
- Data Ownership: The user retains all rights and ownership of user data. Unless necessary for service provision or legally required, the company will not access, use, or disclose user data.
- Data Protection: The company will take reasonable and appropriate measures to protect user data from unauthorized access, loss, or disclosure.
- Privacy Policy: The use of this Service is subject to the company’s privacy policy, incorporated into this Agreement by reference.
Intellectual Property Policy
- You understand and agree that unless otherwise specified by us or the relevant rights holder in accordance with the law, all intellectual property rights of the Service, including but not limited to products, technologies, software, programs, data, and other information contents, including texts, images, audios, videos, charts, interface designs, layout frameworks, related data or electronic documents, etc. (collectively referred to as “Elven Content”) are owned by us or our affiliates. Without our or relevant rights holders’ written consent, you shall not use for any commercial or non-commercial purposes.
- You should respect intellectual property rights just like us. As a precondition for using the Service, you agree not to infringe any intellectual property rights of any party during the use of the Service.
Confidentiality Agreement
- Confidential Information: Both parties agree to keep any proprietary or confidential information disclosed during this Agreement confidential.
- Exclusions: Confidential information does not include information that is publicly available, independently developed without using the other party’s confidential information, or disclosed by a third party not bound by the confidentiality obligation.
Disclaimer and Liability Limitation
- Exclusion of Damages: To the maximum extent permitted by law, the company will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption.
- Liability Cap: The company’s total liability related to this Agreement shall not exceed the total amount paid by the user for the Service in the twelve (12) months before the claim.
Compensation
- If you violate this Agreement and/or other service terms and rules you should follow, we have the right to take reasonable measures at our discretion, including but not limited to pre-warning, restricting, suspending, or terminating your use of some or all features of the Service, blocking or deleting content you uploaded, and freezing or permanently closing accounts. You must bear the consequences and losses arising from such actions. We have the right to announce the handling result and decide whether to restore the relevant accounts based on actual circumstances. We may report, cooperate in investigating, or file a complaint with relevant authorities for suspected violations or crimes.
- If you violate this Agreement and/or other obligations, causing third-party complaints, claims, etc., you should handle and bear all legal responsibilities. If your illegal or breach actions cause us, our affiliates, or partners any loss (including but not limited to attorney fees and expenses) or administrative penalties, you shall fully compensate.
Amendment, Notification Procedures, and Updates of this Agreement
- We reserve the right to modify, update, or change these terms regularly in the normal course of business (such updated terms, referred to as “updated terms”). We encourage you to review this page periodically. Nonetheless, when we make material changes to these terms, we will update the effective date at the top of this page and provide reasonable prior notice before the updated terms take effect by email or posting such notice on the platform. We reserve the right to determine the form and manner of providing such notices to you. You may need to click accept or otherwise agree to the updated terms, but in any case, your continued use or access to the platform after the effective date of the updated terms indicates your agreement to the updated terms. Therefore, you should review these terms and any updated terms before using the platform. The updated terms will take effect from the effective date specified at the top of this page and will apply to your use of the platform from then on. If we update these terms in a non-material way after the effective date, we will update the last modified date at the top of this page. The previous terms (or previously updated terms) will govern any disputes arising before the effective date of the updated terms. If you choose not to agree to these terms or any future updated terms, you must not use or access (and must stop using or accessing) the platform. Elven is not responsible for any automatic filtering of email notices sent to you by your email provider.
Dispute Resolution
- This Agreement shall be governed by and construed following the laws of Singapore, without regard to its conflict of law provisions.
- In case of disputes related to this Agreement (hereinafter referred to as “disputes”), both parties agree to first make their best efforts to resolve the disputes amicably. If negotiations fail or do not take place within thirty (30) days, any disputes related to this Agreement, including any questions regarding its existence, validity, or termination, shall be submitted to and finally resolved by arbitration at the Singapore International Arbitration Centre under the Arbitration Rules of the Singapore International Arbitration Centre then in force, which rules are deemed to be incorporated by reference into this clause. The place of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of arbitration shall be English. The arbitration award shall be final and binding on both parties. The losing party shall pay the winning party’s legal fees, arbitration costs, travel expenses, and other related expenses arising from the arbitration.
